Terms of Service

1. Acceptance of Terms

By accessing or using the OriginalPoint platform, website, APIs, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of the terms and conditions set forth herein, you may not access or use the Services.

These Terms constitute a legally binding agreement between you (whether an individual or an entity) and OriginalPoint, Inc. ("OriginalPoint," "we," "us," or "our"). You represent and warrant that you have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a notice on the Services at least thirty (30) days before the changes take effect. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

If you are using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to bind such entity to these Terms, in which case the terms "you" or "your" shall refer to such entity.

2. Service Description

OriginalPoint provides a unified AI gateway platform that enables users to access, compare, and deploy large language models and other artificial intelligence services from multiple providers through a single API and interface. The Services include, but are not limited to, API access, model routing, usage analytics, team management, and related developer tools.

We act as an intermediary between you and third-party AI model providers. While we strive to provide reliable and performant access to these models, the underlying models are developed, trained, and maintained by their respective providers. OriginalPoint does not control and is not responsible for the content, accuracy, or behavior of outputs generated by third-party models.

The Services may include free-tier access with usage limits, paid subscription plans, and enterprise agreements. Features, pricing, usage limits, and available models may change at any time. We will provide reasonable notice of material changes to paid plan features or pricing.

OriginalPoint may introduce new features, modify existing features, or discontinue any part of the Services at our sole discretion. We will make commercially reasonable efforts to notify users of significant changes that may affect their workflows or integrations.

3. Account Responsibilities

To use the Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials, including your API keys, and for all activities that occur under your account.

You agree to notify OriginalPoint immediately of any unauthorized use of your account or API keys, or any other breach of security. OriginalPoint will not be liable for any loss or damage arising from your failure to protect your account credentials.

You are solely responsible for managing access within your organization, including adding and removing team members, assigning roles and permissions, and ensuring that all users under your account comply with these Terms.

You may not share your API keys with unauthorized third parties, attempt to access the Services using another user's credentials, or create multiple accounts to circumvent usage limits or billing obligations.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not use the Services to generate, distribute, or facilitate content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.

You may not use the Services to develop or deploy systems that make autonomous decisions in high-risk domains (such as healthcare, law enforcement, or financial services) without appropriate human oversight and safeguards. You are responsible for ensuring that your use of AI-generated outputs complies with all applicable laws and regulations.

You shall not attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services or any underlying technology. You may not probe, scan, or test the vulnerability of the Services without our prior written consent.

OriginalPoint reserves the right to suspend or terminate your access to the Services at any time if we reasonably believe that you have violated these acceptable use requirements. We may investigate suspected violations and cooperate with law enforcement authorities in prosecuting users who are involved in illegal activities.

5. Billing & Payment

Certain features of the Services require payment of fees. You agree to pay all applicable fees as described on the pricing page or in your subscription agreement. All fees are stated in United States dollars unless otherwise specified and are non-refundable except as expressly set forth herein.

For subscription plans, billing occurs on a recurring basis (monthly or annually, depending on the plan selected). You authorize OriginalPoint to charge your designated payment method for all fees incurred. If your payment method fails, OriginalPoint reserves the right to suspend your access until payment is received.

Usage-based charges (such as API call volumes or token consumption) are calculated based on your actual usage during each billing period. Detailed usage reports are available through the dashboard. You are responsible for monitoring your usage and managing any applicable spending limits.

OriginalPoint may change its fees upon at least thirty (30) days prior written notice. If you do not agree to the fee changes, you may cancel your subscription before the new fees take effect. Continued use of the Services after the effective date of a fee change constitutes your acceptance of the new fees.

6. Intellectual Property

The Services, including all software, APIs, documentation, designs, trademarks, and other intellectual property, are and remain the exclusive property of OriginalPoint and its licensors. These Terms do not grant you any rights to use OriginalPoint's trademarks, logos, or brand features without prior written consent.

You retain ownership of all content, data, and prompts that you submit to the Services ("User Content"). By using the Services, you grant OriginalPoint a limited, non-exclusive license to process your User Content solely for the purpose of providing the Services to you. OriginalPoint does not claim ownership of your User Content and does not use it for training or improving AI models.

The outputs generated by AI models through the Services ("Model Outputs") are provided to you for your use, subject to the terms and conditions of the applicable model provider. OriginalPoint makes no representations regarding the intellectual property status of Model Outputs.

You may not copy, modify, distribute, or create derivative works based on the Services except as expressly permitted by these Terms. Any feedback, suggestions, or ideas you provide regarding the Services may be used by OriginalPoint without obligation to you.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORIGINALPOINT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL ORIGINALPOINT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ORIGINALPOINT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100).

The Services are provided on an "as is" and "as available" basis. OriginalPoint makes no warranties, express or implied, regarding the Services, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

OriginalPoint is not responsible for the accuracy, reliability, or appropriateness of any outputs generated by third-party AI models accessed through the Services. You acknowledge that AI models may produce incorrect, misleading, or biased results, and you use such outputs at your own risk.
